Corporate Compliance Declaration
We witness that recent corporate scandals may not only have an adverse impact on the companies' business achievement but could endanger the sustainability of the companies themselves, causing much trouble to the shareholders and creditors and giving remarkable disadvantages to other stakeholders such as employees and business counterparts.
Our Group Companies, its directors, officers and employees are required, in implementing their duties, to behave in compliance with good moral and ethics, not undertaking illegal or improper conducts in order to be accepted as good citizens.
The Company adopted the Code of Corporate Conduct, Rules of Compliance Implementation, and Compliance Guidebook as of January 1, 2003, in addition to already existing individual regulations related to compliance, and has implemented them up to the present.
And this time, we will change the name of the "Code of Corporate Conduct" to the "Compliance Policy", in order to clarify that it is a standard of compliance.
All the directors and employees of our Group Companies are expected to fully understand these regulations and to abide by them. I hope that the individual members of the Company read and review these regulations carefully, and check their own behavior and conduct in view of these.
I hereby declare the implementation of the "Compliance" in our Group Companies in hopes that the managers actively and voluntarily lead their fellow employees, and we swear that we, the top management of the Company, shall endeavor to promote the "Compliance".

Compliance Policy and Compliance Guidebook
We have established the "COMPLIANCE POLICY" and "COMPLIANCE GUIDBOOK" as rules to be followed by all of our group members. As a minimum code of conduct to be followed in corporate activities, the following nine categories of precautions are provided so that each and every one of us can reflect on our daily activities.

Copies of the "CORPORATE COMPLIANCE DECLARATION," "COMPLIANCE POLICY," and guidance to the "Help Line" (whistleblowing system) are distributed to all of the group members and regular compliance training are held for directors, officers and employees to ensure effective operations of the compliance system.
MITSUI E&S Group Compliance System
We establish our group compliance system in accordance with the "Group Compliance Management Regulations". Based on the regulations, the Group Compliance Committee, consisting of the Chief Compliance Officer (CCO) appointed with the approval of the Board of Directors, and the Compliance Officers (CO) of MITSUI E&S and its subsidiaries, oversees the implementation and operation of the compliance system. In addition, the Compliance Secretariat conducts monitoring and in-house training on the system.

The "Help Line" (whistleblowing system)
Employees of our Group Companies and business partners have direct access to the "Help Line" (whistleblowing system) inside and outside the Company regarding legal violations, misconduct and acts subject to criminal laws related to the business of our Group Companies. It is also clearly stipulated in our company rules that those who consult or report such matters will not be treated unfavorably because of such consultation or reporting.
